Welcome to Milago AI. These Terms and Conditions ("Terms") govern your access to and use of the website, web application, browser extension, meeting bot, dashboard, transcription features, AI-generated meeting intelligence, workspace tools, integrations, and related services provided by Milago Technologies Private Limited, having its registered office at 9th Floor, Brigade IRV, Nallurhalli Road, Whitefield, Bangalore 560066, Karnataka, India ("Milago", "Company", "we", "us", or "our").
By creating an account, accessing the platform, installing the browser extension, inviting or permitting the Milago meeting bot to join a meeting, subscribing to a paid plan, or otherwise using the services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the services.
These Terms should be read together with our Privacy Policy, Cancellation & Refund Policy, and any plan terms, order form, enterprise agreement, or data processing terms that may apply to your use of Milago AI.
1. Acceptance of Terms
- By accessing or using Milago AI, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.
- These Terms form a legally binding agreement between you and Milago. If you are using the services as an individual, you agree to these Terms personally. If you are using the services on behalf of a company, firm, institution, or other organisation, you represent that you have authority to bind that organisation to these Terms.
- Where an organisation creates or manages a workspace, the organisation is responsible for ensuring that its authorised users, employees, contractors, and invitees comply with these Terms. Any act or omission by such users may be treated as an act or omission of the organisation.
- If you do not have authority to accept these Terms on behalf of an organisation, or if you do not agree with these Terms, you must not use Milago AI for that organisation.
2. Eligibility and Business Use
- Milago AI is intended for business, professional, and organisational use. The platform is not directed at children or minors.
- You must be at least 18 years old and legally capable of entering into a binding agreement to use the services. If you use the services on behalf of an organisation, you must have the legal authority to do so.
- You must not use or register for the services if you are prohibited from doing so under the laws of India or any other applicable jurisdiction. If you access Milago AI from outside India, you are responsible for ensuring that your use complies with local laws, including laws relating to recording, workplace monitoring, privacy, data protection, confidentiality, and communications.
- We may refuse registration, restrict access, suspend an account, or terminate use where we reasonably believe that the services are being used unlawfully, deceptively, abusively, or in a manner that may create legal, operational, security, or reputational risk for Milago or other users.
3. Account Registration and Security
- Account Information: You may need to create an account to access certain features of Milago AI. You agree to provide accurate, current, and complete information during registration and to keep your account, profile, billing, and workspace information updated.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials, devices, authentication methods, and workspace access permissions. You are responsible for all activity that occurs under your account, whether or not you personally authorised that activity.
- Unauthorised Access: You must notify us promptly if you suspect unauthorised access, account compromise, credential misuse, security breach, or any activity that may affect the integrity of your account or workspace.
- Multiple Accounts and Abuse: You may not create multiple accounts to misuse trials, avoid plan limits, bypass restrictions, conceal abusive activity, or interfere with the platform. You may not sell, transfer, rent, or make your account available to another person without our written permission.
- Workspace Administration: If you are a workspace owner or administrator, you are responsible for managing users, assigning roles, removing users who no longer require access, controlling shared links, and ensuring that workspace activity complies with these Terms and applicable law.
4. Services and Usage
- Milago AI provides an AI-powered meeting intelligence service. The platform may capture meetings, generate transcripts, create summaries, identify action items, extract decisions, classify meeting information, support chat-with-transcript functionality, and help users organise meeting knowledge through dashboards, tasks, boards, and collaboration tools.
- Meeting capture may occur through a visible server-side meeting bot, a browser extension installed by the user, or other supported product flows made available by Milago. The exact features available to you may depend on your subscription plan, device, browser, meeting platform, integrations, workspace settings, geography, and technical environment.
- The meeting bot may join supported meetings as a named participant, such as "Milago Notetaker" or another display name configured by the user. The browser extension may detect supported meeting pages and allow the user to record through the browser session.
- Milago may add, modify, improve, suspend, replace, or discontinue features from time to time. We may also impose technical limits, usage limits, storage limits, meeting-duration limits, or plan-based restrictions where required for commercial, operational, legal, security, or product reasons.
- The services are productivity and intelligence tools. They do not replace your professional judgment, legal obligations, internal meeting protocols, workplace policies, client confidentiality duties, or compliance processes.
5. Recording, Notice, and Consent Responsibilities
- Milago AI includes features that can record, capture, transcribe, analyse, summarise, and store meeting-related content. This may include voices, names, images, screen-share content, calendar details, meeting titles, participant information, transcripts, and AI-generated outputs.
- You are solely responsible for ensuring that every meeting captured through Milago AI is recorded, transcribed, processed, and shared lawfully. This includes responsibility for complying with all applicable recording laws, privacy laws, data protection laws, workplace rules, employment obligations, confidentiality duties, professional obligations, contract restrictions, and platform rules.
- Before using the meeting bot, browser extension, transcription features, AI analysis, or sharing tools, you must provide all required notices and obtain all required consents or permissions from meeting participants. This obligation applies whether the meeting is internal, external, client-facing, employment-related, confidential, regulated, or cross-border.
- The visibility of the Milago bot in a meeting participant list may help support transparency, but it may not be sufficient notice or consent in every jurisdiction or context. Milago does not independently verify whether participants have been informed or whether valid consent has been obtained.
- You must not use Milago AI for covert recording, secret monitoring, unlawful surveillance, unauthorised employee tracking, interception of communications, or any recording or processing activity that violates the rights of any person.
- If a host, organiser, participant, employer, client, platform, or other authorised person objects to recording or asks that the bot be removed, you are responsible for stopping the recording or ensuring that Milago AI is not used for that meeting. If the bot is removed from a meeting, recording through that bot flow will stop, but content captured before removal may be processed and retained in accordance with these Terms, the Privacy Policy, and your settings.
6. AI-Generated Outputs and No Professional Advice
- Milago AI uses artificial intelligence and automated processing to generate meeting summaries, action items, decisions, feedback items, classifications, knowledge points, and responses to user questions based on meeting content.
- While we aim to provide useful outputs, AI-generated results may be incomplete, inaccurate, inconsistent, biased, outdated, misleading, or unsuitable for your specific purpose. You are solely responsible for reviewing, validating, correcting, and approving AI outputs before relying on them, sharing them, or using them in business, legal, HR, financial, compliance, operational, or client-facing contexts.
- AI outputs are provided for informational and productivity purposes only. They do not constitute legal, financial, tax, HR, medical, compliance, professional, or business advice. You should consult an appropriately qualified professional where advice is required for your particular situation.
- We do not guarantee that AI outputs will meet your expectations, capture every relevant point from a meeting, correctly identify all speakers, extract every action item, or be free from errors or omissions.
- You acknowledge that similar or identical AI-generated language may be produced for other users. Milago does not claim ownership over your underlying meeting content, but generic AI-generated phrasing, ideas, structures, or common formulations may not be exclusive to you.
7. Customer Content and User Responsibility
- Your Content: As between you and Milago, you retain ownership of the content you provide to or generate through the services, including meeting recordings, transcripts, meeting metadata, prompts, tasks, boards, comments, shared links, and AI outputs created from your meeting content.
- Licence to Milago: You grant Milago a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, reproduce, display, format, analyse, and use your content as necessary to provide, secure, maintain, support, improve, and operate the services; comply with your instructions; enforce these Terms; prevent misuse; and meet legal or operational obligations.
- Rights and Permissions: You represent and warrant that you have all rights, permissions, authorisations, notices, and consents necessary to provide content to Milago and to allow Milago and its service providers to process it as described in these Terms and the Privacy Policy.
- Responsibility for Content: You are solely responsible for the legality, accuracy, quality, confidentiality, and appropriateness of your content and for any consequences arising from recording, uploading, processing, sharing, exporting, or relying on that content.
- No Liability for User Content: Milago does not assume responsibility for user-provided content, meeting content, participant statements, shared links, transcripts, or AI outputs used or shared by you, except to the extent expressly required under applicable law.
8. Subscription Plans and Fees
- Milago AI may offer free, paid, individual, team, business, enterprise, monthly, annual, trial, promotional, or usage-limited plans. The available plans, pricing, features, usage limits, billing cycle, and subscription terms will be described on our website, app, pricing page, checkout page, invoice, order form, or written agreement.
- Access to certain features may require an active paid subscription. Plan limits may include meeting-duration limits, recording limits, storage limits, workspace limits, user-seat limits, AI usage limits, integration limits, or other technical or commercial restrictions.
- Unless stated otherwise, subscription fees are payable in advance and are exclusive of applicable taxes, duties, levies, or government charges. You are responsible for all taxes and charges applicable to your purchase or use of the services.
- We may change plan pricing, features, or limits from time to time. Where a pricing change affects an existing paid subscription, we will endeavour to provide reasonable notice before the change applies to a future billing cycle. If you do not agree with the revised pricing, you should cancel your subscription before the new rate applies.
- Cancellation, refund eligibility, duplicate payments, failed transaction reversals, unused subscription periods, and refund timelines are governed by our separate Cancellation & Refund Policy.
9. Auto-Renewal, Payments, and Payment Gateway
- Auto-Renewal: Paid subscriptions may renew automatically at the end of each billing cycle unless cancelled in accordance with the applicable plan terms and the Cancellation & Refund Policy. By purchasing a subscription, you authorise Milago and its payment partners to charge the applicable subscription fees, renewal fees, taxes, and other charges using your selected payment method.
- Payment Processing: Payments may be processed through Razorpay and/or other authorised third-party payment service providers. By providing payment information or completing a transaction, you authorise Milago and its payment partners to process payments, verify payment status, receive payment confirmations, and manage subscription billing.
- Payment Credentials: Milago does not store full card numbers, CVV details, or sensitive payment authentication credentials on its own systems. Payment information is processed by the relevant payment gateway, bank, card network, issuer, UPI provider, wallet provider, or payment service provider, subject to their own terms and security practices.
- Recurring Payment Requirements: Recurring payments, mandates, authentication steps, pre-debit notifications, approval flows, payment retries, and transaction limits may depend on applicable law, Reserve Bank of India requirements, card network rules, bank requirements, payment method rules, and payment gateway processes. We do not guarantee that every renewal payment will be completed without additional authentication or action from you.
- Payment Failures: If a payment is declined, reversed, disputed, charged back, or cannot be processed, we may notify you, retry the payment, restrict paid features, downgrade your account, suspend access, or terminate the subscription. You are responsible for maintaining a valid payment method and resolving unpaid amounts.
- Chargebacks and Disputes: If you believe a charge is incorrect, you should contact us first so that we can review and resolve the issue. We reserve the right to dispute unjustified chargebacks, recover unpaid amounts, and suspend or terminate accounts that misuse payment dispute mechanisms.
10. Free Trials, Promotional Access, and Beta Features
- Milago may offer free trials, free plans, promotional credits, early-access features, or beta features at its discretion. These may be subject to eligibility criteria, time limits, usage caps, reduced functionality, additional terms, or plan-specific restrictions.
- We may modify, suspend, withdraw, or discontinue any free trial, promotional offer, credit, or beta feature at any time, unless a separate written agreement states otherwise.
- Unless expressly stated, promotional credits have no cash value, are non-transferable, and cannot be refunded, exchanged, or redeemed for money.
- Beta features may be experimental, incomplete, unstable, or subject to change. They are provided for evaluation and improvement purposes and may not be suitable for production, compliance-sensitive, or critical use.
11. User Conduct and Prohibited Use
- You agree to use Milago AI responsibly, lawfully, and only for purposes permitted by these Terms. Violation of these rules may result in suspension, restriction, removal of content, or termination of access.
- You must not use the services to:
- record, transcribe, analyse, or share meetings without required notice, consent, authority, or lawful basis;
- conduct covert surveillance, unlawful monitoring, unauthorised employee tracking, harassment, stalking, interception, or privacy-invasive activity;
- upload, process, generate, or share content that is unlawful, defamatory, harmful, threatening, abusive, discriminatory, obscene, deceptive, fraudulent, or invasive of another person's privacy;
- infringe intellectual property rights, confidentiality obligations, trade secrets, contractual restrictions, publicity rights, or other third-party rights;
- introduce malware, spyware, ransomware, harmful code, automated abuse, denial-of-service activity, credential stuffing, scraping, or unauthorised scripts;
- probe, scan, bypass, disable, overload, disrupt, or interfere with the security, integrity, availability, authentication, rate limits, or technical controls of the services;
- misrepresent your identity, authority, relationship, recording practices, or the purpose for which meeting content is being captured or processed;
- use the services to build, train, benchmark, or improve a competing product or AI system without our written permission; or
- use the services in any manner that may expose Milago, its users, service providers, or third parties to legal, regulatory, security, financial, operational, or reputational risk.
- We may investigate suspected misuse and take action that we consider reasonably necessary to protect the services, users, participants, third parties, and Milago.
12. Workspaces, Sharing, and Collaboration
- Milago may allow users to create personal workspaces, organisation workspaces, shared boards, tasks, meeting records, shared links, and collaborative views. Workspace owners and administrators are responsible for controlling who has access and what they can do within the workspace.
- If you invite users, create shared links, export transcripts, download AI outputs, or share meeting content outside Milago AI, you are responsible for ensuring that such sharing is lawful, appropriate, authorised, and consistent with your confidentiality, privacy, employment, client, and contractual obligations.
- Non-account meeting participants do not automatically receive access to recordings, transcripts, or AI outputs. Access is controlled by the account user or workspace that owns or manages the relevant content.
- Milago is not responsible for disclosure, onward sharing, copying, misuse, reliance, or loss of confidentiality arising from user-created sharing settings, workspace permissions, exports, downloads, or shared links.
13. Third-Party Services and Integrations
- Milago AI may integrate with or rely on third-party services, including video-conferencing platforms, meeting bot infrastructure providers, speech-to-text providers, AI model providers, cloud hosting providers, storage providers, database providers, email providers, payment gateways, analytics providers, OAuth identity providers, calendar providers, and telemetry providers.
- Your use of third-party services may be subject to separate terms, privacy notices, permissions, fees, technical requirements, and platform rules. Milago does not control third-party services and is not responsible for their availability, performance, outages, acts, omissions, security practices, data handling, pricing, or changes.
- By using integrations such as calendar connections, meeting links, OAuth sign-in, video-conferencing platforms, or payment gateways, you authorise Milago to exchange and process the information necessary to provide the relevant functionality.
- We may add, replace, suspend, or discontinue third-party integrations or service providers from time to time. We will try to maintain service continuity, but we do not guarantee uninterrupted availability of any external platform or integration.
14. Intellectual Property Rights
- Milago's Intellectual Property: The services, software, source code, object code, interface, workflows, platform architecture, designs, dashboards, models, prompts created by Milago, algorithms, documentation, trademarks, trade names, logos, and related materials are owned by Milago or its licensors. These Terms do not transfer ownership of Milago's intellectual property to you.
- Licence to Use the Services: Subject to your compliance with these Terms and payment of applicable fees, Milago grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the services for your internal business or professional purposes.
- Restrictions: You must not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, extract source code from, or create derivative works based on the services, except to the extent expressly permitted by law or authorised by Milago in writing.
- User Content and Outputs: Milago does not claim ownership over your meeting content or the AI outputs generated for you from that content, subject to Milago's ownership of its platform, software, models, prompts, tools, templates, workflows, and pre-existing materials.
- Feedback: If you provide suggestions, comments, ideas, or feedback about Milago AI, you agree that we may use and implement them without restriction, attribution, or compensation. Any improvements based on feedback will be owned by Milago.
15. No Resale or Unauthorised Commercial Use
- Your account and subscription are intended for your own internal business or professional use, or for the internal use of the organisation that purchased or manages the workspace.
- You may not resell, rent, lease, sublicense, white-label, commercially exploit, or provide access to Milago AI as a standalone or competing service without our prior written consent.
- You may use AI outputs for your legitimate internal business purposes, but you may not redistribute, package, sell, or commercialise the services, platform functionality, substantial outputs, transcripts, datasets, or system behaviour as part of a competing product, data product, AI model, or commercial service without a separate written agreement.
- We reserve the right to monitor usage for suspected unauthorised resale, excessive automated use, credential sharing, or commercial exploitation and may suspend or terminate access where such activity is detected.
16. Data Retention, Export, and Deletion
Certain features may allow you to delete meetings, delete your account, export data, or manage profile information. Availability of these features may depend on your plan, workspace role, account status, technical feasibility, and applicable law.
Post-Termination Deletion Timeline: Where you delete your account, cancel your subscription, or your access is terminated by Milago, we will delete or anonymise your Customer Content, including meeting recordings, transcripts, AI-generated outputs, boards, tasks, and related workspace content - from our active systems within 90 days of the effective date of termination or deletion ("Deletion Window"). During the Deletion Window, your content will not be accessible through the platform, but may remain in processing queues, operational backups, or recovery systems in the ordinary course. We will endeavour to complete active-system deletion before the end of the Deletion Window.
Retained Records: Notwithstanding the above, Milago may retain the following categories of data beyond the Deletion Window where required or permitted by applicable law, operational necessity, or legitimate business purpose:
- billing records, invoices, subscription histories, and transaction records, for the period required under applicable tax, accounting, and financial laws (ordinarily seven years under Indian law);
- security logs, audit trails, access records, and incident records, for up to 24 months from the date of generation, or as required by applicable law;
- records relating to active disputes, unresolved complaints, pending litigation, regulatory inquiries, or enforcement proceedings, until final resolution;
- anonymised or aggregated data that does not identify you or your organisation, indefinitely; and
- any content subject to a legal hold, court order, or regulatory preservation requirement, for the duration of that requirement.
Backup and Archival Systems: Deletion from active systems may not immediately remove data from backup or archival systems. Where your Customer Content remains in a backup at the time of deletion, it will be protected from routine access and will be overwritten or deleted in the normal course of our backup rotation cycle, ordinarily within 180 days from the date of deletion from active systems.
Data Export Before Deletion: We recommend that you export any content you wish to retain before deleting your account or cancelling your subscription. Once deletion is confirmed and processed, we cannot guarantee recovery of deleted content.
More detailed information about personal data, deletion, user rights, and privacy practices is available in our Privacy Policy.
17. Termination and Suspension
- By You: You may stop using Milago AI at any time. You may also cancel your subscription or delete your account through the available account settings or by contacting support, subject to the applicable plan terms and the Cancellation & Refund Policy.

- Effect of Termination: Upon termination, your right to access and use the services will cease. We may disable your account and restrict access to content immediately upon termination. Customer Content will be deleted from active systems in accordance with the post-termination timeline set out in Clause 16. We may retain limited records as described in Clause 16 and the Privacy Policy.
- Survival: Provisions relating to payment obligations, intellectual property, confidentiality, user content responsibility, disclaimers, limitation of liability, indemnity, dispute resolution, governing law, and provisions that by their nature should survive will remain effective after termination.
18. Disclaimer of Warranties

- To the maximum extent permitted by law, Milago's total aggregate liability for all claims arising out of or relating to the services or these Terms will not exceed the fees actually paid by you to Milago for the services during the twelve (12) months immediately preceding the event giving rise to the claim.
- If you have used only a free plan during that period, Milago's total aggregate liability will be limited to INR 5,000 or the minimum amount permitted under applicable law, whichever is lower where legally permissible.
- The limitations in this section form an essential basis of the bargain between you and Milago and reflect the allocation of risk on which the services are offered.
20. Indemnification
You agree to indemnify, defend, and hold harmless Milago, its affiliates, directors, officers, employees, contractors, service providers, and representatives from and against any claims, liabilities, damages, losses, penalties, costs, and expenses, including reasonable legal fees, arising from or relating to:

You must not settle any claim in a manner that imposes liability, admission, restriction, or obligation on Milago without our prior written consent.
21. Modifications to the Services and Terms
- Service Changes: Milago is continually improving and evolving the platform. We may add, modify, suspend, replace, or remove features, integrations, limits, plans, user flows, or technical requirements at any time.
- Maintenance and Temporary Suspension: We may temporarily suspend the services for maintenance, upgrades, emergency fixes, security reasons, third-party outages, legal requirements, or operational needs. We will try to minimise disruption where commercially reasonable.

- The seat and venue of arbitration will be Bengaluru, Karnataka, India. The language of arbitration will be English.
- Nothing in this section prevents either party from seeking interim, injunctive, equitable, or urgent relief from a court of competent jurisdiction. Subject to the arbitration provision above, the courts at Bengaluru, Karnataka, India will have jurisdiction.
